Mastermind Participation Agreement

This Mastermind and Retreat Participation Agreement (the "Agreement") is entered into by and between The Blueprint LLC (hereinafter referred to as the "Host") and the undersigned participant (hereinafter referred to as the "Attendee"). By purchasing a ticket for The Blueprint Mastermind (the "Program"), the Attendee acknowledges and agrees to be bound by the terms and conditions outlined in this Agreement.

Scope of Services:

Upon purchasing a ticket to the Program, the Attendee will be granted the following services (the "Services"):

A. Digital Experience:

i. Six (6) months of access to the Program's digital content and resources.

ii. One (1) monthly group support call.

iii. Access to a private digital community.

iv. Three (3) individual 30-minute coaching sessions with Jaclyn, Alli, and Marina per member.

v. Access to a member directory.

B. In-person Experience:

i. Entry to a two (2)-day in-person event.

ii. Provision of meals including lunch, snacks, and one dinner during the event.

iii. Access to break-out sessions.

iv. Exposure to guest speakers.

v. Participation in mental health activities.

Fees, Payment, and Refund Policy:

Payment of fees, which are due upon purchase of the ticket, signifies enrollment in the Program. All fees are non-refundable under any circumstances. In the event that an Attendee opts for a payment plan and misses a payment, they will incur a late fee equivalent to 20% of the installment due. Payments will be considered late if they are not successfully processed on the first attempt within twelve (12) hours.

In the case that Attendee defaults on their payment, the Attendee will be responsible for any and all legal fees incurred by The Blueprint LLC in pursuit of payment. These legal fees will be added to the outstanding amount owed by the Attendee.

Travel Arrangements:

Attendees shall be wholly responsible for making all necessary travel and accommodation arrangements. The Host shall not be responsible for any costs related to travel, accommodation, or transportation to and from the retreat venue.

Data Protection and Privacy:

The Host acknowledges the importance of protecting the Attendee's personal data. Therefore, the Host commits not to sell, rent, or lease the Attendee's personal data to any third parties without explicit consent. However, the Attendee's data may be stored and used by the Host for communication or statistical analysis purposes unless otherwise requested by the Attendee.

Privacy Pledge:

The Blueprint LLC and the Attendee mutually commit to respecting and safeguarding each other's privacy. We pledge to maintain the confidentiality of the personal information shared between us and to use it only in ways that are consistent with this Agreement, our respective privacy policies, and the laws governing data privacy.

Speaker Opinions:

The Host shall not be held liable or accountable for any views, opinions, or advice shared by guest speakers during the Program or in any related materials. All such views, opinions, and advice are those of the speakers alone and do not represent the Host's views or advice.

Use of Images and Recordings:

The Host reserves the right to use any photographs, recordings, or electronic images taken during the course of the Program for any purposes deemed appropriate by the Host. By signing this Agreement, the Attendee grants the Host an exclusive right to use their image and likeness for trade, advertising, sales, and publicity purposes without further compensation or permission. The Host will hold all rights relating to these images and recordings.

Limitation of Liability:

Neither Party shall be liable to the other for any indirect, incidental, consequential, special, or exemplary damages arising from this Agreement. The liability of the Host under this Agreement, for any cause whatsoever and regardless of the form of action, will at all times be limited to the amount paid, if any, by the Attendee for the Services during the term of the Program.

Force Majeure:

Neither Party shall be held liable or responsible for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, riots, insurrections, fires, floods, storms, earthquakes, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, or non-performance of third parties.

Communication:

Attendees may direct all communication to the Host via email at [hello@marinaabrahim.com]. The Host will make reasonable efforts to respond within twenty-four (24) hours on business days. Responses to inquiries received on weekends or holidays will be addressed on the following business day.

Intellectual Property Rights:

All content provided by the Host is protected under United States and international copyright laws. Attendees are granted a limited, non-exclusive, non-transferable license to access and use the provided content for their personal, non-commercial use, subject to the terms and conditions of this Agreement.

Further to the existing Intellectual Property Rights clause, it should be explicitly understood that any materials, digital or otherwise, provided as part of the Program are for the personal use of the Attendee only. The Attendee is prohibited from copying, distributing, transmitting, displaying, reproducing, or creating derivative works from any content or materials received during the course of the Program without explicit written permission from the Host. The Host reserves the right to pursue legal action against any unauthorized use of the copyrighted materials.

Governing Law and Jurisdiction:

This Agreement shall be governed by and construed under the laws of the State of Massachusetts without regard to its conflict of law provisions. All disputes arising under or in relation to this Agreement shall be subject to the exclusive jurisdiction of the courts of the State of Massachusetts.

Entire Agreement:

This Agreement, together with any exhibits, schedules, attachments, and appendices hereto, constitutes the entire agreement between the Parties relating to the subject matter hereof, and supersedes all prior or contemporaneous oral or written agreements concerning such subject matter.

Health and Safety:

The Attendee acknowledges and accepts that they are participating in the retreat and the Program at their own risk. The Attendee is responsible for determining and certifying their own medical and physical fitness to participate in the Program and any related activities. The Host will not bear any responsibility or liability for any health incidents that may occur during the Program or retreat.

Conduct and Behavior:

The Attendee agrees to conduct themselves in a professional, respectful, and appropriate manner at all times during the retreat, the Program, and on any related online platforms. The Host reserves the right to remove the Attendee from the retreat, the Program, or any related online platforms without refund if the Attendee's behavior is deemed inappropriate or disruptive.

Indemnification:

The Attendee agrees to indemnify, defend, and hold harmless the Host, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement or any activity related to the Attendee's participation in the Program.

Virtual Meeting Etiquette:

The Attendee agrees to adhere to commonly accepted norms of etiquette during virtual meetings, including but not limited to maintaining a quiet environment, using appropriate language, and respecting the speaking time of other participants.

Confidentiality:

The Attendee agrees to maintain in confidence any non-public, sensitive information shared during the retreat, the Program, or on related online platforms unless explicitly given permission to share such information by the rightful owner.

Dispute Resolution:

In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the Parties agree to first attempt to resolve the issue through good faith negotiation or mediation before resorting to litigation.

Termination Clause:

The Host reserves the right to terminate this Agreement and revoke the Attendee's membership in the event of any breach of the terms set out in this Agreement, including but not limited to failure to adhere to the Code of Conduct, non-payment of fees, or misuse of program resources. In such a case, no refund will be issued. Conversely, the Attendee may not terminate this Agreement without completing all due payments. In such an instance where the Attendee wishes to discontinue their participation in the Program, they are still responsible for the completion of all agreed payments.

No Guarantee of Success:

The Attendee acknowledges and agrees that the Host makes no representations, warranties, or guarantees verbally or in writing regarding the Attendee's future business success. Any comments about the outcome are expressions of opinion only. The Host cannot and does not guarantee any particular financial result or success, and the Attendee's success depends on their own effort, dedication, and action.
